Affiliate Terms of Service

These Affiliate Program Terms of Service ("Agreement") govern your participation in the Datify Affiliate Program ("Program") operated by JadePuma ("we," "us," or "our"). By enrolling in the Program, you ("Affiliate") agree to be bound by this Agreement.

1. Program Overview

The Datify Affiliate Program allows approved affiliates to earn commissions by referring new paying customers to Datify, a product data health platform for Shopify merchants, available on the Shopify App Store.

2. Eligibility

To participate in the Program, you must:

• Be at least 18 years of age
• Have a valid payment account capable of receiving commission payouts
• Not be an employee, contractor, or immediate family member of JadePuma
• Comply with all applicable laws, including those governing advertising and endorsements

JadePuma reserves the right to accept or reject any affiliate application at its sole discretion.

3. Enrollment

You may apply to the Program through the Mantle-powered affiliate portal. Approval is not guaranteed. We may revoke approval at any time if you violate this Agreement or engage in conduct we deem harmful to Datify or JadePuma.

4. Affiliate Links & Tracking

Upon approval, you will receive a unique referral link ("Affiliate Link"). Commissions are tracked through this link. You are responsible for ensuring your Affiliate Link is used correctly. JadePuma is not responsible for untracked referrals due to browser settings, ad blockers, link errors, or technical issues outside our control.

5. Commission Structure

• Commission Rate: As specified in your affiliate dashboard at the time of enrollment (subject to change with notice)
• Qualifying Referral: A referral that results in a new, paying Datify subscription through your Affiliate Link
• Commission Trigger: Commissions are earned when a referred merchant completes their first paid billing period
• Recurring Commissions: If applicable, recurring commissions are paid for the duration specified in your dashboard; JadePuma may modify recurring terms with 30 days' notice

Self-referrals (referring yourself or accounts you control) are strictly prohibited and will result in forfeiture of commissions and termination from the Program.

6. Payment

• Commissions are paid on a monthly basis, typically within 15 business days following the close of each calendar month
• Minimum payout threshold: $50 USD (accrued balances below this threshold roll over to the following month)
• Payments are issued via the method specified in your affiliate account
• You are solely responsible for any taxes owed on commissions received; JadePuma will not withhold taxes unless required by law

7. Refunds & Chargebacks

If a referred merchant receives a refund or initiates a chargeback, the corresponding commission will be reversed. Commissions are not earned on refunded or charged-back transactions.

8. Promotional Guidelines

You agree to promote Datify honestly and accurately. You may not:

• Make false or misleading claims about Datify's features, pricing, or results
• Use spam, unsolicited email, or deceptive advertising practices
• Bid on branded keywords (e.g., "Datify," "JadePuma") in paid search campaigns without prior written approval
• Present yourself as an employee or official representative of JadePuma
• Use Datify's name, logo, or branding in a way that is not pre-approved

You must clearly disclose your affiliate relationship in accordance with FTC guidelines and any applicable local regulations (e.g., "I may earn a commission if you sign up using my link").

9. Intellectual Property

JadePuma grants you a limited, non-exclusive, revocable license to use Datify's approved marketing materials, name, and logo solely for the purpose of promoting the Program. This license does not transfer any ownership rights and terminates immediately upon termination of this Agreement.

10. Term & Termination

This Agreement is effective upon your enrollment and continues until terminated. Either party may terminate this Agreement at any time, for any reason, with or without notice. Upon termination:

• Your Affiliate Link will be deactivated
• Earned commissions for completed qualifying periods will be paid out at the next regular payment cycle
• Commissions on pending or future transactions will be forfeited

JadePuma may immediately terminate your participation and withhold commissions if you violate any provision of this Agreement.

11. Modifications

JadePuma reserves the right to modify this Agreement, commission rates, or Program terms at any time. We will provide notice via email or your affiliate dashboard. Continued participation after the effective date of changes constitutes acceptance.

12. Limitation of Liability

To the maximum extent permitted by law, JadePuma shall not be liable for any indirect, incidental, special, or consequential damages arising out of your participation in the Program. Our total liability to you shall not exceed the commissions earned by you in the three (3) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless JadePuma and its officers, employees, and agents from any claims, damages, or expenses arising out of your participation in the Program, your promotional activities, or your violation of this Agreement.

14. Governing Law

This Agreement is governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Diego County, California.

15. Entire Agreement

This Agreement, together with any terms displayed in your affiliate dashboard, constitutes the entire agreement between you and JadePuma regarding the Program and supersedes any prior understandings.
